I emailed CSC to cancel my Registered Agent Services on 5/10/23, and received an email confirmation that the account was closed - see attached. Please note - the Agent Services were paid in advance the previous year, for services from 6/1/2022 to 5/31/2023. I thus cancelled before the services expired, and would have been actually due a prorated refund for the unused portion. Even though I had cancelled, I keep receiving both email and paper invoices asking for payment for the next year of services (which again - I am not using as I've already cancelled). I keep complaining via email but receive absolutely no response. Attached are some samples, including the last payment request arrived today. I request that this business stop sending me bogus invoices for services that are not being rendered.

CSC has researched the BBB complaint #20220251.  It was confirmed that Mr. ************* reached out to cancel Registered Agent services, which was completed per his request.  Mr. **************s original request did not include cancellation of Address and Mail services, which is what the invoice being sent to him was for.  To resolve Mr. **************s concerns, these services have been cancelled and the invoice has been removed from his account.  A representative attempted to contact Mr. ************* to explain the situation and determine if there is anything else we might be able to do to assist him.  Mr. ************* was unable to be reached by email or phone.  At this time, CSC considers this matter to be closed.

Better Business Bureau: I have reviewed the response made by the business in reference to my complaint and have determined that this does not resolve my  issue.  For your reference, details of the offer I reviewed appear below. **In order for the bureau to continue to assist you, you MUST provide your view on the matter or your complaint will be closed as answered. The Company Corporation is not being truthful. As you can verify, the invoices I have been receiving after my cancellation are still for $350, which is the same amount I have always been paying. The bill includes $200 for Address and Mail Service, and $150 for Registered Agent Services. The business statement on BBB seems to indicate they misunderstood me and only cancelled the Registered Agent Service. But... 1 - The invoice's total amount due is still for the full $350 which includes that service2 - The "We misunderstood the customer" excuses does not hold water since I've sent numerous complaints about the non-cancelled services, all of which went unanswered. The behavior seems an attempt to flood me with invoices hoping that I would get tired and eventually pay for cancelled services. The company did eventually inform me they cancelled everything for real after my complaint to the BBB. But I shouldn't have resorted to this extreme measure just to cancel a service. Regards, Complaint ID: 20220151

I am in the process of taking T-Mobile to arbitration. Per T-Mobile's terms and conditions, I am to notify their Registered Agent in writing--Corporation Service Company. I contacted Corporation Service Company's "Service of Process" department by phone and they refused to look up the name and address for my complaint, stating they work with thousand of companies. I believe that their refusal is in violation of their duties as a Registered Agent, and it is my intent to escalate this matter if they do not provide me the EXACT information I need in order to notify them per the T-Mobile's T&C. https://www.t-mobile.com/responsibility/legal/terms-and-conditions *HOW DO I RESOLVE DISPUTES WITH T-MOBILE? "To begin arbitration, you must send a letter requesting arbitration and describing your claim to our registered agent (see the “How Do We Notify Each Other” section below) and to the American Arbitration Association (“AAA”).” **HOW DO WE NOTIFY EACH OTHER? "To begin arbitration or any other legal proceeding, you must serve our registered agent. Our registered agent is Corporation Service Company and can be contacted at 1-866-403-5272.”

As a commercial registered agent Corporation Service Company (CSC) has an office location in all 50 states for the receipt and intake of legal documents on business entities that have designated CSC as their registered agent.

Each state provides a searchable online database of corporate business information that includes the name the business goes by in that state, as well as the name and address of that company’s registered agent. It is the duty of the serving party to verify the correct information listed with the state. If CSC is listed as the registered agent for a business entity, we accept documents via process server, sheriff, FedEx, UPS, certified, and regular mail.

The contact information CSC uses for the purpose of forwarding legal documents to our customers is confidential. We do not release such information without a valid court order or subpoena. CSC cannot provide any party with advice on how to properly serve a company. If the serving party has such questions we encourage them to consult an attorney.

Corporation Service Company (‘CSC’) is a Uniform Commercial Code (‘UCC’) service company that files UCC records on behalf of commercial lenders.  In addition, CSC serves as the representative of the secured party for certain lenders on financing statements to prevent abuse of public records for sales and marketing purposes. When acting as a secured party representative, CSC’s role is to forward communications related to the financing statement, to the secured party that filed the record(s).  Only the represented secured party, who is normally the lender or servicer of a loan, has authority to amend or terminate the UCC record.

To expedite communications, CSC provides both U.S. mail and email addresses on the UCC record.  This is the sole address through which interested parties can get additional information regarding the UCC record. In this case, the complainant initially called a number neither intended nor equipped to deal with inquiries regarding UCC records for which CSC serves as representative. The complainant subsequently contacted CSC by email at the designated UCC address on November 15, 2021.  CSC responded the same day to the complainant, with the identity and contact information for the secured party represented of the UCC financing statement, along with the instruction that the complainant must contact the represented secured party to resolve the matter.  CSC also forwarded the complainant’s email to the represented secured party.

The complainant must work directly with the represented secured party (the lender) because only the lender has access to the necessary information to determine the status of its relationship with the complainant and only the lender has authority to file a termination statement as requested by the complainant.  Therefore, CSC now considers this matter closed.

I recently created a new LLC in Alabama. Shortly thereafter we began receiving invoices in the mail and emails for Foreign Filing Fees and Finance Charges. I have never contacted this company, requested any services or products from this company and have confirmed with the attorney that assisted in setting up the LLC that he has never contacted the company on our behalf. I have called CSC and was advised that I must remit payment or the amount will be turned over for collection. This is a SCAM.

Upon receipt of complaint # 16031790, Ms. ***** ******** of CSC researched the issue and reached out to Mr. **** ********** to discuss the matter.

On October 25, 2021, Ms. ******** was able to speak to Mr. ********** who did not seem to have any knowledge of a complaint filed with the BBB and directed CSC to contact Ms. Amanda Johnson in the accounting office.  Ms. ******** promptly reached out to Ms. Johnson; however, she was unsuccessful in reaching Ms. Johnson directly and left a voice message that has not been returned as of the date of this response.

The invoice mentioned in this complaint is for Registered Agent Service for OberaConnect, LLC in the state of Georgia (GA).  CSC was listed as agent when OberaConnect, LLC qualified in GA in July 2021, with a domestic state of Alabama (see attached filing).  All entities are required to name an agent in GA, and CSC was notified that it had been listed as agent; therefore, we added the information to our records.

CSC charges an annual fee to act as Registered Agent. As agent, CSC receives Service of Process on the company’s behalf and also receives and forwards compliance notices to the company.

Unless or until CSC has been removed as Registered Agent for OberaConnect, LLC with the Secretary of State in GA, the invoice in question is deemed valid and CSC now considers this matter closed.

So this company filed an UCC filing against our company and we have no knowledge of this company. We never did any business with this company. When we reached out to them to find out what it was they claimed they did work for a client and that we should reach out to the who we received a loan from and the guy hung up the phone. We never received a loan so we cant reach out to someone we dont know! They filed the UCC filing under ************ and has reported it on our duns number. We want to filing removed and a confirmation letter mailed showing it was removed.

Corporation Service Company (“CSC”) is a UCC service company that files and searches UCC records on behalf of commercial lenders.  In addition, to prevent abuse of public records for sales and marketing purposes, CSC serves as representative of the secured party for certain lenders on financing statement filed under the Uniform Commercial Code (“UCC”).

When acting as a secured party representative, CSC’s role is to forward communications related to the financing statement to the secured party that filed the record.  Only the represented secured party has authority to amend or terminate the UCC record.  To expedite communications, CSC provides an email address on the UCC record, along with the U.S. Mail address.  This is the sole address through which interested parties can get additional information regarding the UCC record.

In this case, the complainant initially called a number that is not intended or equipped to deal with inquiries regarding UCC records in which CSC serves as representative of the secured party.  It appears that the complainant then contacted CSC by email at the address designated for this purpose on October 4, 2021 at approximately 4:00 pm CDT.

CSC promptly responded with the identity and contact information for the secured party represented by CSC on the UCC financing statement.  The complainant has a business relationship with the represented secured party and must work directly with that party to resolve the matter.  In this case it appears the complainant did contact the represented secured party directly and had the secured party file a termination statement within two business hours after CSC received the initial email.
We believe there is no further action necessary; therefore, CSC now considers this matter closed.
