I recently acquired an existing corporation that was filed with MyLLC. For logistical reasons, I reformed my corporation in a different state and NEVER did any business under the MyLLC registered corporation. As the original corporation never operated under my name without any income, I decided to just dissolve it. According to Wyoming law, I could either pay them (wyoming) a fee or just stop filing for three years and it would go away. Since there was no income, it made sense to just let it "fade away". MyLLC was the registered address and they charge about $130 per year for this, but since I never used this corp I wanted to cancel it. They would also do this for around $99. They CLAIMED I could remove them from the state registration myself to avoid these fees myself. However when I attempted to do so it was impossible because I do not have a Wyoming address. I instructed them EXPLICITLY not to charge me while I attempted to resolve this and they did anyway! For a DEAD corporation to which they provided me NO ACTUAL SERVICE OF ANY VALUE! Talk about MONEY for NOTHING! Furthermore, they hung up with me when I called them to dispute and resolve the situation. Since they never provided me with any services and the original corporation was unused since my acquisition I am seeking a reversal of all charges and cancellation of all services.Business response

We appreciate the opportunity to respond and clarify our policies regarding registered agent service. First, William Wallace is not the cardholder that was billed for the renewal on this account, although if he would like to provide an alternate form of payment we are happy to reimburse the cardholder on file. The renewal, which was due April 20, 2023 and auto-billed May 1, 2023, is not refundable per the Terms and Conditions included with this response, signed and agreed to by Mr. Wallace. The business Zippo Hosting LLC is Active with the Secretary of State and our agent is still listed. The entity will be Administratively Dissolved in September if the Annual Report is not filed with the WY Secretary of State so Mr. Wallace requires no further action if he would like to let the entity go.
Mr. Wallace has called in to three representatives here at MyLLC, yelling at the top of his lungs at all of them. At one point, a woman joined in yelling at one of our representatives. All three attempted to explain the options for cancelling the service but communication was difficult. We are happy to work with Mr. Wallace but we do ask that he communicate with staff in a reasonable and respectful manner, which has not been the case during his last three phone calls.
The Registered Agent is statutorily compelled to be available on behalf of any business, which lists said agent publicly with the Secretary of State. The client is correct that the entity will eventually go into an Archived status on its own. In addition, his business will become Administratively Dissolved this September and remain in that status until it is Archived if he doesn’t file an Annual Report. The state of Wyoming considers Administrative Dissolution to be the same as Dissolution and so MyLLC does not invoice during the period of Administrative Dissolution or once the entity becomes Archived. In summary, no further billing will occur on this account unless the entity is kept active with the stateIf Mr. Wallace decides he would like to keep the entity Active, he can file a Registered Agent Change for $5 or a Resignation of Registered Agent for free (failing to list a new agent will cause the business to incur a $250 penalty). We do charge a preparation and filing fee of $99 if he would like us to file the resignation for him but he is not required to have us file for him, nor is required to file anything at all if he wants to cancel future services.
